Limitation of Liability

In no event shall Rivon Skill, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our platform.

Our total liability to you for all damages, losses, and causes of action arising out of or relating to these Terms of Use or your use of our platform shall not exceed the amount you paid to us in the twelve months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Rivon Skill and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

This indemnification obligation applies to claims arising from: (i) your use of and access to our platform; (ii) your violation of any term of these Terms of Use; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your content caused damage to a third party.

Termination

We may terminate or suspend your account and bar access to our platform immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms of Use.

If you wish to terminate your account, you may discontinue using our platform. Upon termination, your right to use our platform will cease immediately. All provisions of these Terms of Use which by their nature should survive termination shall survive termination.

We reserve the right to refuse service, terminate accounts, or remove or edit content in our sole discretion.

Governing Law and Jurisdiction

These Terms of Use and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of Kyrgyzstan, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms of Use will be brought exclusively in the courts of Kyrgyzstan, and the parties hereby consent to the personal jurisdiction and venue therein.

If any provision of these Terms of Use is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

Changes to Terms of Use

We reserve the right, at our sole discretion, to modify or replace these Terms of Use at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
